Preferred Legal Form: Limited Liability Partnership (LLP / ТОО)
The most common and generally most efficient legal form for foreign founders in Kazakhstan is the Limited Liability Partnership (LLP). In practice, an LLP is comparable to a limited liability company in many jurisdictions.
Key advantages of an LLP include:
- a straightforward and practical corporate governance framework;
- flexibility to incorporate with one or multiple participants;
- liability of participants limited to the amount of their contributions to the charter capital;
- relatively simple incorporation requirements. In particular, most LLPs are registered as small enterprises, for which no minimum charter capital is required, enabling incorporation with modest initial costs.
An LLP is the most widely used legal entity in Kazakhstan. Each participant holds a share in the charter capital, and voting rights at the general meeting of participants (the company’s supreme governing body) are typically proportionate to such shareholding. Participants may be either individuals or legal entities. An LLP must also appoint an executive body—either a sole executive (Director/General Director), who may be a participant, or a collegial executive body.
Immigration Requirements for an Individual Founder
Where an LLP is incorporated by an individual foreign founder, the founder must hold an appropriate migration status for business purposes.
If you are a citizen of a country outside the EAEU, you will generally need a C5 business visa to incorporate an LLP. The C5 visa is typically issued as a single-entry visa for up to 90 days, allowing the founder to establish a company or acquire a participation interest in an existing company.
The C5 visa is obtained through a Kazakh consulate or embassy in the founder’s country of residence. The application is supported by an invitation letter, which is arranged by the inviting party in Kazakhstan through the migration authorities. Matias may act as the inviting party.
Upon arrival in Kazakhstan, the founder will also typically need to:
- obtain an IIN (Individual Identification Number);
- obtain a local mobile number;
- obtain an electronic digital signature (EDS) for an individual.

Incorporation Where the Founder Is a Foreign Legal Entity
If the founder of the LLP is a foreign company, a visa is not required for incorporation. However, the corporate documentation must be prepared correctly.
The foreign legal entity must generally provide:
- a legalized extract from the trade/commercial register of the jurisdiction of incorporation, with a notarized translation into Russian and Kazakh;
- a notarized copy of the director’s passport, with a notarized translation into Kazakh;
- a resolution of the competent corporate body approving the incorporation of an LLP or the acquisition of a participation interest in an existing LLP , and a power of attorney authorizing a representative in Kazakhstan to act before state authorities — with notarized translations into Kazakh or Russian.

Registration and Post‑Incorporation Actions
Following the preparation of the required documents, an application for incorporation of the LLP is filed with the competent state authority.

- obtain the company’s EDS (electronic digital signature);
